Information security: Suppliers must attach great importance to information security and strictly comply with China's Cybersecurity Law, Data Security Law, Personal Information Protection Law and relevant industry requirements.

管理體系：供應(yīng)商應(yīng)建立并維護(hù)有效的管理體系，以支持本準(zhǔn)則各項(xiàng)要求的持續(xù)實(shí)施和改進(jìn)。

序言
Preamble

本行為準(zhǔn)則旨在明確我們對(duì)供應(yīng)鏈合作伙伴在商業(yè)道德、社會(huì)責(zé)任和環(huán)境保護(hù)方面的要求。我們致力于與供應(yīng)商建立長(zhǎng)期、穩(wěn)定、互信的合作關(guān)系，共同推動(dòng)行業(yè)的可持續(xù)發(fā)展，為建設(shè)智慧能源社會(huì)貢獻(xiàn)力量。所有為江蘇林洋能源股份有限公司（以下簡(jiǎn)稱“我司”）提供產(chǎn)品、服務(wù)或材料的供應(yīng)商（以下簡(jiǎn)稱“供應(yīng)商”）都必須遵守本準(zhǔn)則。

This Code of Conduct sets out our requirements for supply chain partners in terms of business ethics, social responsibility and environmental protection. We are committed to building long-term, stable and mutually trusting cooperative relationships with suppliers, jointly promoting the sustainable development of the industry and contributing to a smart energy society. All suppliers providing products, services or materials to Jiangsu Linyang Energy Co., Ltd. (hereinafter "our Company") (hereinafter "Suppliers") must comply with this Code.

1 雇傭?qū)嵺`
1 Employment Practices

供應(yīng)商必須尊重所有員工的合法權(quán)益，提供公平、安全、非歧視性的工作環(huán)境，并嚴(yán)格遵守中國(guó)相關(guān)法律法規(guī)（如《中華人民共和國(guó)勞動(dòng)法》、《中華人民共和國(guó)勞動(dòng)合同法》、《中華人民共和國(guó)婦女權(quán)益保障法》、《中華人民共和國(guó)未成年人保護(hù)法》、《中華人民共和國(guó)殘疾人保障法》等）。

Suppliers must respect the legitimate rights and interests of all employees, provide a fair, safe and non-discriminatory working environment, and strictly comply with relevant Chinese laws and regulations (such as the Labor Law, the Labor Contract Law, the Law on the Protection of Women's Rights and Interests, the Law on the Protection of Minors, and the Law on the Protection of Persons with Disabilities of the People's Republic of China).

1.1. 禁止強(qiáng)迫勞動(dòng) 嚴(yán)禁任何形式的強(qiáng)迫勞動(dòng)、抵債勞動(dòng)、契約勞動(dòng)或非自愿的監(jiān)獄勞動(dòng)。員工應(yīng)享有自由流動(dòng)的權(quán)利。

1.1 Prohibition of Forced Labor: Any form of forced labor, bonded labor, indentured labor or involuntary prison labor is strictly prohibited. Employees shall enjoy the right to freedom of movement.

1.2. 禁止童工 不得雇傭任何未滿16周歲的童工（符合中國(guó)法律規(guī)定的最低就業(yè)年齡）。對(duì)于16-18周歲的未成年工，必須嚴(yán)格遵守國(guó)家關(guān)于未成年工特殊保護(hù)的規(guī)定，限制其從事有害工種和加班，并提供必要的健康檢查。

1.2 Prohibition of Child Labor: No child labor under the age of 16 (the minimum working age under Chinese law) shall be employed. For juvenile workers aged 16 to 18, the national provisions on special protection of juvenile workers must be strictly observed, restricting them from hazardous work and overtime and providing necessary health examinations.

1.3. 禁止歧視 在招聘、薪酬、培訓(xùn)、晉升、解雇或退休等所有雇傭環(huán)節(jié)中，禁止基于種族、膚色、年齡、性別、性取向、性別認(rèn)同、婚姻狀況、生育情況、國(guó)籍、民族、宗教、殘疾、政治派別、工會(huì)成員身份或任何其他受法律保護(hù)的特征進(jìn)行歧視。

1.3 Prohibition of Discrimination: In all employment processes including recruitment, compensation, training, promotion, dismissal and retirement, discrimination based on race, color, age, gender, sexual orientation, gender identity, marital status, reproductive status, nationality, ethnicity, religion, disability, political affiliation, trade union membership or any other legally protected characteristic is prohibited.

1.4 公平薪酬與工作時(shí)間
1.4 Fair Compensation and Working Hours

1.4.1支付的工資應(yīng)至少滿足當(dāng)?shù)胤ǘㄗ畹凸べY標(biāo)準(zhǔn)，并能滿足員工基本生活需要。

1.4.1 Wages paid shall at least meet the local statutory minimum wage standard and be sufficient to meet employees' basic living needs.

1.4.2加班工資應(yīng)嚴(yán)格按照國(guó)家規(guī)定支付（通常為正常工資的150%、200%或300%）。

1.4.2 Overtime pay shall be paid strictly in accordance with national regulations (normally 150%, 200% or 300% of normal wages).

1.4.3工作時(shí)間應(yīng)符合國(guó)家關(guān)于標(biāo)準(zhǔn)工時(shí)、加班限制及休息休假的規(guī)定（如每周至少休息一天、法定節(jié)假日休假、帶薪年休假等）。

1.4.3 Working hours shall comply with national regulations on standard working hours, overtime limits, rest and leave (such as at least one rest day per week, statutory holidays and paid annual leave).

1.4.4工資應(yīng)按時(shí)、足額以法定貨幣支付給員工本人，并提供清晰易懂的工資條。

1.4.4 Wages shall be paid to employees themselves in legal currency on time and in full, with clear and understandable payslips provided.

1.5人道待遇： 尊重員工的人格尊嚴(yán)和人身權(quán)利。禁止任何形式的騷擾、虐待、體罰、精神或身體脅迫、威脅或侮辱性行為。

1.5 Humane Treatment: Respect employees' personal dignity and personal rights. Any form of harassment, abuse, corporal punishment, mental or physical coercion, threats or humiliating conduct is prohibited.

1.6.結(jié)社自由與集體談判： 尊重員工依法自由結(jié)社、參加工會(huì)以及進(jìn)行集體談判的權(quán)利。供應(yīng)商不得因員工合法行使這些權(quán)利而進(jìn)行報(bào)復(fù)或歧視。

1.6 Freedom of Association and Collective Bargaining: Respect employees' rights to freely associate, join trade unions and engage in collective bargaining in accordance with law. Suppliers shall not retaliate against or discriminate against employees for lawfully exercising these rights.

2 健康與安全
2 Health and Safety

供應(yīng)商必須為所有員工提供安全、健康的工作場(chǎng)所，并遵守中國(guó)《安全生產(chǎn)法》、《職業(yè)病防治法》及相關(guān)行業(yè)安全衛(wèi)生標(biāo)準(zhǔn)（如GB/T 45001等）。

Suppliers must provide all employees with a safe and healthy workplace and comply with China's Work Safety Law, Law on the Prevention and Control of Occupational Diseases and relevant industry safety and health standards (such as GB/T 45001).

2.1 工作場(chǎng)所安全： 識(shí)別、評(píng)估并控制工作場(chǎng)所的物理、化學(xué)、生物、人機(jī)工效等潛在風(fēng)險(xiǎn)。提供必要的安全防護(hù)設(shè)備（PPE），并確保員工接受正確使用培訓(xùn)。保持工作場(chǎng)所清潔、有序和良好的通風(fēng)照明。

2.1 Workplace Safety: Identify, assess and control potential physical, chemical, biological and ergonomic risks in the workplace. Provide necessary personal protective equipment (PPE) and ensure employees receive training on its proper use. Keep the workplace clean, orderly and well ventilated and lit.

2.2 事故預(yù)防與應(yīng)急準(zhǔn)備： 建立并實(shí)施有效的安全操作規(guī)程、事故預(yù)防程序和應(yīng)急預(yù)案（包括火災(zāi)、化學(xué)品泄漏、自然災(zāi)害等）。定期進(jìn)行安全檢查和應(yīng)急演練。

2.2 Accident Prevention and Emergency Preparedness: Establish and implement effective safety operating procedures, accident prevention procedures and emergency response plans (covering fire, chemical spills and natural disasters). Conduct regular safety inspections and emergency drills.

2.3職業(yè)健康： 識(shí)別和控制可能導(dǎo)致職業(yè)病的有害因素（如粉塵、噪音、有毒化學(xué)品、輻射等）。為員工提供必要的職業(yè)健康檢查（崗前、在崗、離崗），并建立健康監(jiān)護(hù)檔案。

2.3 Occupational Health: Identify and control hazardous factors that may cause occupational diseases (such as dust, noise, toxic chemicals and radiation). Provide employees with necessary occupational health examinations (pre-employment, in-service and upon leaving) and establish health surveillance records.

2.4工傷與疾病管理： 依法報(bào)告工傷事故和職業(yè)病，為受傷或患病的員工提供及時(shí)有效的醫(yī)療救助和賠償。

2.4 Injury and Illness Management: Report work injuries and occupational diseases in accordance with law, and provide timely and effective medical assistance and compensation to injured or ill employees.

2.5住宿與衛(wèi)生設(shè)施： 如果供應(yīng)商為員工提供住宿，應(yīng)確保宿舍安全、清潔、通風(fēng)，符合相關(guān)衛(wèi)生標(biāo)準(zhǔn)，并提供充足的衛(wèi)生設(shè)施和清潔的飲用水。

2.5 Dormitories and Sanitation Facilities: Where suppliers provide accommodation for employees, dormitories shall be safe, clean and ventilated and meet relevant hygiene standards, with adequate sanitation facilities and clean drinking water provided.

3 環(huán)境實(shí)踐
3 Environmental Practices

供應(yīng)商應(yīng)致力于環(huán)境保護(hù)和資源的可持續(xù)利用，遵守中國(guó)《環(huán)境保護(hù)法》、《大氣污染防治法》、《水污染防治法》、《固體廢物污染環(huán)境防治法》等相關(guān)法律法規(guī)及國(guó)家、地方的排放標(biāo)準(zhǔn)。

Suppliers shall be committed to environmental protection and sustainable use of resources, and comply with China's Environmental Protection Law, Atmospheric Pollution Prevention and Control Law, Water Pollution Prevention and Control Law, Law on the Prevention and Control of Environmental Pollution by Solid Waste and other relevant laws and regulations, as well as national and local emission standards.

3.1環(huán)境許可與報(bào)告： 依法取得所有必要的環(huán)境許可、執(zhí)照和批準(zhǔn)文件，并按時(shí)提交合規(guī)報(bào)告。

3.1 Environmental Permits and Reporting: Obtain all necessary environmental permits, licenses and approvals in accordance with law, and submit compliance reports on time.

3.2污染防治與資源節(jié)約：
3.2 Pollution Prevention and Resource Conservation:

節(jié)能減排： 積極采取措施減少能源消耗和溫室氣體排放。優(yōu)先采用清潔能源和節(jié)能技術(shù)。

Energy saving and emission reduction: Actively take measures to reduce energy consumption and greenhouse gas emissions, prioritizing clean energy and energy-saving technologies.

水資源管理： 節(jié)約用水，減少?gòu)U水產(chǎn)生。確保廢水在排放前經(jīng)過(guò)有效處理，達(dá)到國(guó)家和地方排放標(biāo)準(zhǔn)。

Water resource management: Conserve water and reduce wastewater generation; ensure wastewater is effectively treated before discharge to meet national and local discharge standards.

廢氣管理： 控制生產(chǎn)過(guò)程中的大氣污染物排放（如VOCs、粉塵等），確保達(dá)標(biāo)排放。

Air emission management: Control emissions of atmospheric pollutants from production processes (such as VOCs and dust) to ensure compliance with standards.

固體廢物管理： 實(shí)施“減量化、資源化、無(wú)害化”原則。對(duì)廢棄物（特別是有害廢物HW）進(jìn)行分類、標(biāo)識(shí)、安全儲(chǔ)存、合規(guī)處置或交由有資質(zhì)的單位處理。嚴(yán)格遵守《國(guó)家危險(xiǎn)廢物名錄》及相關(guān)管理規(guī)定。

Solid waste management: Apply the principles of "reduction, resource recovery and harmlessness". Classify, label, safely store and lawfully dispose of waste (especially hazardous waste, HW), or entrust qualified entities for treatment; strictly comply with the National Catalogue of Hazardous Wastes and related regulations.

化學(xué)品管理： 安全儲(chǔ)存、使用、處理和處置化學(xué)品，防止泄漏和污染。遵守《危險(xiǎn)化學(xué)品安全管理?xiàng)l例》。

Chemical management: Safely store, use, handle and dispose of chemicals to prevent leakage and contamination; comply with the Regulations on the Safety Management of Hazardous Chemicals.

3.3 產(chǎn)品環(huán)保要求： 提供的產(chǎn)品、材料和服務(wù)應(yīng)滿足相關(guān)的環(huán)保法規(guī)要求（如RoHS、REACH、中國(guó)RoHS等有害物質(zhì)限制要求）。鼓勵(lì)采用環(huán)保材料和設(shè)計(jì)。

3.3 Product Environmental Requirements: Products, materials and services provided shall meet relevant environmental regulatory requirements (such as RoHS, REACH and China RoHS hazardous substance restrictions). The use of environmentally friendly materials and designs is encouraged.

3.4 生物多樣性與自然資源： 在運(yùn)營(yíng)中盡量減少對(duì)生態(tài)系統(tǒng)和生物多樣性的負(fù)面影響。遵守關(guān)于森林、水資源等自然資源保護(hù)的法律法規(guī)。

3.4 Biodiversity and Natural Resources: Minimize negative impacts on ecosystems and biodiversity in operations; comply with laws and regulations on the protection of forests, water and other natural resources.

4 道德行為
4 Ethical Conduct

供應(yīng)商應(yīng)以誠(chéng)信、公平和透明的方式開(kāi)展業(yè)務(wù)，遵守最高商業(yè)道德標(biāo)準(zhǔn)和中國(guó)相關(guān)法律法規(guī)（如《反不正當(dāng)競(jìng)爭(zhēng)法》、《反壟斷法》等）。

Suppliers shall conduct business with integrity, fairness and transparency, and comply with the highest business ethics standards and relevant Chinese laws and regulations (such as the Anti-Unfair Competition Law and the Anti-Monopoly Law).

4.1誠(chéng)信經(jīng)營(yíng)：
4.1 Integrity in Business:

禁止賄賂與腐敗： 嚴(yán)禁向政府官員、客戶（包括我方員工）或其他商業(yè)伙伴提供、承諾、給予或索取任何形式的賄賂、回扣、不正當(dāng)利益或其他非法報(bào)酬。嚴(yán)格遵守中國(guó)《反不正當(dāng)競(jìng)爭(zhēng)法》及《刑法》關(guān)于賄賂犯罪的規(guī)定。

Prohibition of bribery and corruption: It is strictly prohibited to offer, promise, give or solicit any form of bribe, kickback, improper benefit or other illegal payment to government officials, customers (including our employees) or other business partners. Strictly comply with the Anti-Unfair Competition Law and the Criminal Law provisions on bribery offenses.

公平交易： 禁止參與價(jià)格操縱、串通投標(biāo)、市場(chǎng)分割或其他反競(jìng)爭(zhēng)行為。

Fair dealing: Participation in price manipulation, bid rigging, market allocation or other anti-competitive conduct is prohibited.

信息披露： 確保向我司提供的信息（如資質(zhì)、質(zhì)量、合規(guī)狀況等）準(zhǔn)確、真實(shí)、完整。

Information disclosure: Ensure that information provided to our Company (such as qualifications, quality and compliance status) is accurate, truthful and complete.

4.2 利益沖突： 避免可能導(dǎo)致或?qū)嶋H存在的利益沖突。供應(yīng)商員工不得利用職權(quán)為其個(gè)人或其親友謀取不正當(dāng)利益。

4.2 Conflicts of Interest: Avoid potential or actual conflicts of interest. Supplier employees shall not use their position to obtain improper benefits for themselves, their relatives or friends.

4.3知識(shí)產(chǎn)權(quán)保護(hù)： 尊重并保護(hù)知識(shí)產(chǎn)權(quán)（包括專利、商標(biāo)、版權(quán)、商業(yè)秘密等）。禁止非法使用或泄露我司或第三方的知識(shí)產(chǎn)權(quán)。

4.3 Intellectual Property Protection: Respect and protect intellectual property rights (including patents, trademarks, copyrights and trade secrets). Illegal use or disclosure of our Company's or third parties' intellectual property is prohibited.

4.4 保密義務(wù)： 對(duì)在業(yè)務(wù)往來(lái)中獲知的我司的商業(yè)秘密、技術(shù)信息和客戶信息等承擔(dān)保密義務(wù)。

4.4 Confidentiality Obligations: Maintain confidentiality regarding our Company's trade secrets, technical information and customer information learned in the course of business.

4.5 負(fù)責(zé)任的礦產(chǎn)采購(gòu)： 承諾供應(yīng)鏈中使用的關(guān)鍵礦物（如錫、鎢、鉭、金、鈷等）不直接或間接資助武裝沖突或涉及嚴(yán)重人權(quán)侵犯。鼓勵(lì)使用通過(guò)負(fù)責(zé)任礦產(chǎn)倡議（RMI）等認(rèn)可機(jī)制認(rèn)證的材料。

4.5 Responsible Mineral Sourcing: Commit that key minerals used in the supply chain (such as tin, tungsten, tantalum, gold and cobalt) do not directly or indirectly finance armed conflict or involve serious human rights abuses. As smart meters involve critical energy infrastructure and related data, suppliers must attach great importance to information security and strictly comply with China's Cybersecurity Law, Data Security Law, Personal Information Protection Law and relevant industry requirements.
